How to Buy A Business With No Money

When I first heard about Perry Anderson’s M&A MasterClass on buying businesses without using your own money or credit, I admit I was skeptical. But after a month of immersive learning and hands-on workshops, I can honestly say this has been the single best business training I have ever received.

Perry Anderson is a veteran entrepreneur and investor with an MBA from Oxford. He’s the founder and CEO of a private equity firm called Quadra Global Capital Corp, which he’s run for the past two decades. He is also the author of Red to Black: The Art of the Corporate Turnaround.

Perry brings a wealth of knowledge and experience to the table, and throughout the course, he shared the secrets to his success in merging and acquiring companies, and the lessons he learned from his failures.

Side note: For those of you who are unfamiliar with the term M&A, here is a quick definition:

Mergers and Acquisitions, also known as M&As, refer to the process of combining two or more companies into a single entity, or one company acquiring another. This can be achieved through a variety of means, including buying out the other company’s shares, exchanging shares, or a combination of both. The ultimate goal of M&As is to achieve strategic, financial, or operational benefits, such as increased market share, economies of scale, or diversification.

The course was structured as a series of eight workshops held live over Zoom, each lasting an hour. It covered topics ranging from foundation building and sourcing deals to negotiating, due diligence, legal matters, and more. The workshops were held on Tuesdays and Thursdays, and each session was packed with valuable insights and practical advice.

Course Overview

Here’s an overview of how the course was laid out and the crucial information it contained.

    • The first session established the foundation for the course, teaching essential concepts and setting the stage for the rest of the workshops.

    • In the second session, I was amazed to learn how it is possible to acquire a business for just $1, a concept that seemed too good to be true but was explained in greater detail, in a straightforward and understandable manner.

    • The third session taught me how to source deals, an essential skill for anyone looking to buy a business.

    • The fourth workshop delved into the nitty-gritty of negotiation, due diligence, and legal matters, providing practical guidance on these complex aspects of the M&A process.

    • In the fifth workshop, I learned how to use mergers to build businesses quickly, a powerful strategy for scaling up and increasing value.

    • The sixth session was all about fixing and optimizing distressed businesses, valuable insights that make a significant difference in the success of an acquisition.

    • The seventh workshop focused on raising non-bank capital to close a deal, a crucial aspect of buying businesses without using your own money or credit.

    • Finally, the eighth workshop covered acquiring minority stakes, selling businesses, and wealth creation “hacks” that can boost your overall success.

One of the things I appreciated most about Perry’s teaching style was his transparency and honesty. He shared his failures and setbacks in great detail, providing valuable insights that I could learn from without making the same mistakes myself.

He also provided numerous resources, such as deal memos, term sheets, and a list of equity and debt funders (complete with their numbers and email addresses) to help facilitate business purchases.

An Entrepreneur With Values

Throughout the course, Perry emphasized the importance of structuring deals to be win-win for both the buyer and the seller. He taught us how to create attractive offers by addressing the specific problems facing business owners, including strategies that enrich employees and keep existing workers happy.

This focus on problem-solving and fair deals that benefit everyone involved was refreshing and inspiring.

Another aspect of the M&A Masterclass that I loved was the intimate group discussions and one-on-one time with Perry. The workshops are small, with limited numbers of participants. This gave me the opportunity to ask questions and get personalized advice, which was incredibly valuable.

As a business owner with 20 years of experience, I thought I knew nearly everything required to run a successful company. But thanks to Perry Anderson’s M&A Masterclass, I now have the tools and confidence to look for other businesses to buy — and even scale my own company more effectively by acquiring a company in my space.

Insights You Won’t Learn In Business School

In addition to the wealth of information I’ve already mentioned, Perry Anderson’s M&A Masterclass is incredibly content-rich, covering a wide variety of topics.

Here are some of the other important subjects I learned about during the course:

Dealing with business brokers:

Perry taught us how to effectively work with business brokers when required. As crucial intermediaries in the M&A process, it’s important to understand their motivations and practices.

Do’s and don’ts when dealing with business owners and making offers:

We learned the etiquette and best practices for interacting with business owners during negotiations, ensuring that the process runs smoothly and professionally.

Avoiding personal guarantees when obtaining financing:

Perry shared strategies for securing financing without having to provide a personal guarantee, reducing risk, and protecting personal assets.

Engaging lawyers cost-effectively and efficiently:

We were taught how to work with legal professionals to get the necessary legal work done quickly and without breaking the bank.

Doing virtual mergers:

Perry taught the concept of virtual mergers, which can be an innovative way to combine the strengths of two or more companies without the complexities of a full merger.

Fixing and optimizing distressed businesses:

We did a deep dive into the strategies and techniques for turning around struggling businesses and maximizing their potential.

Legally withdrawing money from your company tax-free:

Perry shared little-known tips on how to extract money from your business without incurring tax liabilities.

Becoming your own bank:

Finally, we learned about an intriguing concept that allows business owners to essentially become their own banks, providing financing for their ventures and reaping the rewards of this unique financial strategy.

These additional topics made this workshop a comprehensive learning experience and a highly worthwhile investment.

In summary, I cannot speak highly enough about Perry Anderson’s M&A Masterclass.

His depth of knowledge, straightforward teaching style, and willingness to share his experiences make this course an invaluable resource for anyone looking to grow their wealth through buying businesses.

If you’re considering taking the plunge into the world of M&A, don’t hesitate to sign up for this course—you won’t be disappointed. The next Masterclass starts on June 6th and he runs these sessions several times per year.
